Acceptance of Terms
By accessing or using BrandWatch (the "Service"), operated by BrandWatch, Inc. ("we", "us", or "our"), you agree to these Terms of Service and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms. If you do not agree, do not use the Service.
Description of Service
BrandWatch is a brand monitoring and SEO rank-tracking platform. The Service enables you to:
- Monitor your brand name across Google, Bing, Yelp, LinkedIn, and domain registries.
- Track search engine rank positions for specific queries and geographic locations.
- Schedule automated scans on daily, weekly, or custom intervals.
- Receive email alerts when your rank changes or your brand appears in new contexts.
- Access AI-powered insights and recommendations to improve your search visibility.
We reserve the right to modify or discontinue any feature of the Service at any time, with reasonable notice for material changes that affect paid subscribers.
Account Registration & Responsibilities
You must provide accurate, current, and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.
You must be at least 16 years old to use the Service. If you are under 18, you represent that a parent or guardian has reviewed and agreed to these terms on your behalf.
You agree to notify us immediately at support@brandwatch.app if you become aware of any unauthorized use of your account.
Acceptable Use Policy
You agree not to use the Service to:
Abuse infrastructure
Send excessive automated requests that degrade Service performance for other users, or attempt to circumvent rate limits.
Resell scraped data
Resell, sublicense, or redistribute raw scan data or SERP snapshots obtained through the platform without our prior written consent.
Violate third-party terms
Use scan results in ways that violate the terms of service of Google, Bing, or any other third-party platform.
Engage in harmful conduct
Monitor competitors' brands for the purpose of coordinated manipulation, false reporting, or defamation.
Circumvent security
Attempt to probe, scan, or test the vulnerability of the platform or breach any authentication or security measures.
Violation of this policy may result in immediate account suspension or termination without refund.
Payment & Billing
Subscription plans. The Service is offered on monthly and annual subscription plans. Annual plans are billed upfront and offer a discounted effective monthly rate compared to month-to-month billing.
No refunds. All subscription fees are non-refundable except where required by law. If you cancel, your access continues through the end of the current billing period.
Upgrades and downgrades. You may upgrade your plan at any time; the upgrade is effective immediately and your next invoice will be prorated. Downgrades take effect at the start of the next billing cycle.
Failed payments. If a payment fails, we will retry the charge up to three times over seven days. If the payment remains unsuccessful, your account may be suspended until the balance is settled.
Data & Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service you agree to the collection and use of your data as described in that policy. We process personal data as a data processor on your behalf with respect to the brand and scan data you configure, and as a data controller with respect to your account and billing data.
Intellectual Property
Our platform. BrandWatch, Inc. owns all rights, title, and interest in the platform, including its design, software, AI models, algorithms, and compiled scan infrastructure. Nothing in these Terms grants you ownership of any part of the platform.
Your brand data. You retain full ownership of the brand names, keywords, and configurations you input, as well as the scan results generated specifically for your account. You grant us a limited license to process this data solely to deliver the Service to you.
Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT SCAN RESULTS WILL BE COMPLETE OR ACCURATE AT ALL TIMES, AS SEARCH ENGINE DATA IS INHERENTLY DYNAMIC AND SUBJECT TO CHANGE.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRANDWATCH, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD $100.
Termination
You may cancel your account at any time from your account settings. Cancellation stops future charges and retains your access through the end of the paid period.
We may suspend or terminate your account immediately, without prior notice, if we determine that you have violated these Terms, engaged in fraudulent activity, or pose a security risk to the platform or other users. Upon termination, your right to use the Service ceases immediately.
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict-of-law principles. Any dispute arising from these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.
